This Generative Artificial Intelligence (“GAI”) Features Supplement applies to and governs Instructure’s features within Canvas that utilize Generative Artificial Intelligence Technology (“GAI Offerings”).
- GAI Models. GAI models take inputs such as text, image, audio, video and code and generate new content. For example, GAI models can be used to make editing suggestions to documents, to answer questions in a chat program, and to search records for ideas (rather than literal matches of query words).
- New and Experimental Technology Area. Customer understands and acknowledges that GAI technology is a new and experimental technological area. Customer acknowledges that access to and use of Instructure’s GAI Offerings could be impacted by regulatory actions, legislation, or proposed legislation or policies, as well as technical changes and/or modifications, which could change, limit, or restrict, among other things, access to and use of certain features, products, or services of the Service.
- Artificial Intelligence Disclosure. Customer understands and acknowledges that GAI technology is subject to limitations as a result of its, among other things, training data set, algorithms, structure, organization, parameters, and weights. Customer also understands and acknowledges that GAI can be prone to errors, hallucinations, and other issues affecting the accuracy of the outputted information. All output from Instructure’s GAI Offerings should be reviewed by a human for accuracy.
- Customer Agreements and Restrictions. Customer Agrees: (1) to provide notice in connection with any output or information generated by GAI Offerings that it was generated by Artificial Intelligence; (2) to notify Instructure of any errors or issues with the GAI Offerings, including but not limited to hallucinations, mistakes, and instances of bias or discrimination; and (3) not to use output of the GAI Offerings to develop a competing artificial intelligence model.
- Ownership of Output. Customer expressly agrees to the use of its Customer Content in conjunction with GAI technology. To the extent permissible by law, all output from the GAI Offerings that is generated based on its Customer Content shall be considered Customer Content. Customer acknowledges that due to the nature of its GAI Offerings and GAI generally, output that the Customer generates from the GAI Offerings may not be unique and other customers may receive similar content from use of the Service. Responses generated for other customers are not considered Customer Content.
- Customers’ Uses of GAI Offerings. Instructure and its licensors have the right to store, analyze, maintain, use as training data, and otherwise process any and all of Customer’s interactions with the GAI Offerings, including but not limited to Customer’s inputs into any chat programs, Customer’s feedback on the GAI Offerings, and Customer’s modifications of any GAI-generated SQL code based on Customer’s inputs, which shall be considered Usage Data for the purposes of this Agreement.
